Terms of Service

1. Agreement to Terms

By accessing or using ClearCookie Cookie Consent Manager ("Service"), operated by ClearConsent DataSec Pvt Ltd ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Description of Service

ClearCookie is a multi-tenant SaaS platform that provides cookie consent management, cookie scanning, consent collection, policy management, banner customisation, and compliance reporting for websites. The Service helps website operators comply with applicable data protection regulations including GDPR, DPDPA, CCPA, LGPD, and others.

3. Account Registration

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately of any unauthorised use of your account.
• You must be at least 18 years of age to create an account.
• One person or legal entity may not maintain more than one free account.

4. Subscription Plans & Billing

• Free Plan: Includes limited features with a cap on domains, scans, and monthly consent records as displayed on the pricing page.
• Pro & Enterprise Plans: Paid subscriptions billed monthly or annually. Prices are displayed in INR and are inclusive of applicable taxes unless stated otherwise.
• Payments are processed via Razorpay and/or PayU. By subscribing, you also agree to the payment processor's terms.
• Subscriptions auto-renew unless cancelled before the end of the current billing period.
• Refunds are governed by the cancellation and refund policy described in Section 10.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to violate any applicable law or regulation.
• Attempt to gain unauthorised access to the Service, other accounts, or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to collect, store, or process personal data in violation of applicable privacy laws.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or redistribute the Service without prior written consent.

6. Data Processing & Privacy

• We process data in accordance with our Privacy Policy.
• Consent records collected through the Service are stored immutably and are never modified or deleted, as required for regulatory compliance.
• Cookie scan data, banner configurations, and policies are tenant-isolated. No cross-tenant data access is possible.
• All sensitive configuration values (API keys, payment credentials) are encrypted at rest using AES-256-GCM.

7. Intellectual Property

The Service, including its source code, design, logos, and documentation, is the exclusive property of ClearConsent DataSec Pvt Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during the term of your subscription.

8. Service Availability & SLA

• We target 99.9% uptime for the Service but do not guarantee uninterrupted access.
• Scheduled maintenance windows will be communicated at least 24 hours in advance.
• We are not liable for downtime caused by factors beyond our reasonable control, including third-party service failures, network issues, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by applicable law, ClearConsent DataSec Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

10. Cancellation & Refund Policy

• You may cancel your subscription at any time from the Settings page.
• Upon cancellation, you retain access until the end of the current billing period.
• No pro-rata refunds are issued for partial billing periods.
• Annual subscriptions may be eligible for a refund within the first 14 days if no scans have been performed and no consent records have been collected.

11. Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. Upon termination, your data will be retained for the period required by applicable regulations and then permanently deleted.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least thirty (30) days.

13. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email at least 15 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
